Content Provider Agreement

BETWEEN:
Seeit Technology LLC, a limited liability company with its principal office located in Wyoming (“Company”), 

AND 

The Content Provider,

Collectively, the “Parties.”

1. Purpose

This Content Provider Agreement (“Agreement”) governs the Provider’s submission, distribution, and sale of content (“Content”) through the website Seeit.co (“Platform”), operated by the Company.

Provider eligibility and verification

2.1 The Provider must be at least eighteen (18) years of age and legally eligible to enter into binding agreements.

2.2 The Company shall verify the Provider’s identity and age prior to enabling uploads or sales. The Provider agrees to provide accurate, current, and verifiable identification documents upon request.

2.3 The Provider agrees that no Content shall be uploaded or distributed unless the Provider’s verification has been completed and approved by the Company.

Representations and Warranties

  • The Provider represents and warrants that:

    (a) Consent of Persons Depicted:
    The Provider has obtained and will maintain on record written consent from every person depicted in the Content, granting permission:

    • To be depicted in the Content;

    • For the public distribution, display, and download of the Content via the Platform; and

    • For the Content to be uploaded and monetized on Seeit.co.

    (b) Age Verification:
    The Provider has verified and will maintain on record government-issued photo identification for each person depicted in the Content, confirming that every such person is of legal age (18 years or older) at the time of depiction and upload.

    (c) Documentation:
    The Provider shall retain all consent and age-verification records for a minimum of five (5) years and provide copies to the Company within seventy-two (72) hours of a written request.

Prohibited Content and Conduct

4.1 The Provider shall not upload, sell, or distribute any Content that:

  • Is illegal under applicable law;

  • Violates any card scheme, banking, or payment network rules;

  • Violates Seeit.co’s Usage Policy, Terms of Service, or Community Guidelines; or

  • Contains or promotes violence, non-consensual acts, child exploitation, impersonation, or any other prohibited activity.

4.2 The Provider agrees that any violation of this Section constitutes a material breach of this Agreement and may result in immediate suspension or termination of the Provider’s account, forfeiture of payments, and potential legal action.

Payments

6.1 The Company shall remit payments to the Provider for sales of Content according to the Platform’s published payment schedule and fee structure.

6.2 The Company reserves the right to withhold or suspend payments in cases of suspected fraud, policy violations, or pending verification requests.

Record-Keeping and Compliance

7.1 The Provider shall comply with all applicable federal, state, and local laws, including record-keeping requirements under 18 U.S.C. §2257 and any equivalent state-level laws.

7.2 The Provider shall make all records available for inspection by the Company or any lawful authority upon request.

Termination

The Company may terminate this Agreement and suspend or delete the Provider’s account at any time for violation of this Agreement, the law, or any Platform policy.
Upon termination, the Provider’s license to the Platform automatically ends, and all pending payments may be withheld pending investigation.

Indemnification

The Provider agrees to defend, indemnify, and hold harmless the Company, its affiliates, officers, and employees from and against all claims, damages, or liabilities arising from or related to:
(a) the Provider’s Content;
(b) violation of this Agreement; or
(c) breach of any law or third-party rights.

Limitation of Liability

In no event shall the Company be liable for any indirect, incidental, or consequential damages arising out of this Agreement or the Provider’s use of the Platform.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-law rules. Any dispute arising hereunder shall be brought exclusively in the state or federal courts located in Wyoming.

Entire Agreement

This Agreement constitutes the entire understanding between the Parties with respect to its subject matter and supersedes all prior agreements or understandings.

Digital Acceptance and Electronic Signatures

By creating a Content Provider account or clicking “I Agree,” “Accept,” or any similar button on the Seeit.co Platform, the Provider acknowledges and agrees that such action constitutes the Provider’s electronic signature to this Agreement, having the same force and effect as a handwritten signature. The Provider further agrees that this Agreement and any related notices, disclosures, or communications may be provided and executed electronically, and that the Provider’s continued use of the Platform shall constitute ongoing acceptance of the terms herein.
